1. Introduction

Primo Sales Team is a partner platform operated by PRIMO-TECHNOLOGIES FZ-LLC that allows registered partners to promote and sell products offered on the platform. These Terms govern your use of the platform and your participation in the partner program.

2. Eligibility

To become a partner you must:

• Be at least 18 years old.
• Provide accurate account information.
• Comply with all applicable laws and regulations.
• Complete your full profile — including identity verification (KYC) and bank details — before you can upload your first lead.

Primo Sales Team reserves the right to reject or terminate accounts at its own discretion.

3. Partner Account

You are responsible for:

• Keeping your account secure.
• Protecting your login credentials.
• Ensuring all information remains accurate.
• Updating your bank details if they change.

Sharing accounts is prohibited.

4. Referral Codes

Each partner receives a unique referral code. The referral code is intended to give customers an exclusive discount and to automatically link completed sales to the correct partner. A sale is only linked to a partner when the customer uses that partner's correct referral code. Referral codes may not be sold, transferred, copied or manipulated.

5. Lead Ownership

The first valid partner to upload a lead becomes the owner of that lead. A claimed lead remains exclusively assigned to that partner for 7 days. After 7 days, if no successful sale has been completed, the lead automatically becomes available for other partners. Duplicate leads are not accepted.

6. Lead Requirements

Partners may only upload legitimate business leads. Each lead must contain accurate information. Submitting fake companies, duplicate information, or misleading data may result in account suspension or permanent removal.

7. Commission Structure

Commission amounts depend on the product, the contract duration, and the partner's current tier. Commission amounts displayed inside the platform are final. Primo Sales Team reserves the right to modify commission structures for future sales. Previously approved commissions will not be affected.

8. Successful Sale

A commission is only generated when the customer completes payment and the sale is successfully linked to the partner through the correct referral code. Only completed and verified sales qualify for commission.

9. Payouts

Partners are paid automatically on the 28th of every month. There is no payout request — all commissions that are confirmed and approved during the month are included in that month's payout batch. Payouts are made worldwide.

Before any payout can be made, the partner's profile must be fully complete and approved, including identity verification (KYC) and valid bank details. If anything is missing or not yet approved, the payout will not be released until it is resolved.

Commission status moves as follows:

• Pending — the sale has been made and the commission is being confirmed.
• Approved — the commission is confirmed and included in the next payout on the 28th.
• Paid — the payout has been sent to the partner's bank account.

10. KYC Verification

Identity verification is mandatory before uploading your first lead and before receiving any payout. Primo Sales Team may use an external KYC provider. Failure to complete verification will prevent access to lead uploads, payouts and certain other platform features.

11. Fraud Prevention

The following activities are strictly prohibited:

• Fake leads
• Duplicate leads
• Fake purchases
• Self-referrals (buying through your own referral code)
• Payment manipulation
• Identity fraud
• Misrepresentation
• Spam
• Illegal marketing methods

Primo Sales Team reserves the right to investigate suspicious activity and to withhold or reverse commissions linked to it.

12. Account Suspension

Accounts may be suspended or permanently terminated if a partner violates these Terms, attempts fraud, misuses the platform, harasses customers or staff, or damages the reputation of Primo Sales Team or its products.

13. Marketing Rules

Partners must market Primo Sales Team and its products honestly. Partners may not:

• Make false claims.
• Guarantee results.
• Misrepresent pricing.
• Pretend to be employees of PRIMO-TECHNOLOGIES FZ-LLC.
• Mislead potential customers.

14. Intellectual Property

All trademarks, branding, designs, software, videos, documents and marketing materials remain the exclusive property of PRIMO-TECHNOLOGIES FZ-LLC. Partners receive permission to use official sales materials only for promoting the platform's products.

15. Taxes

Partners are responsible for declaring and paying their own taxes on any commission they earn, in accordance with the laws of their own country. Primo Sales Team does not withhold tax and simply pays out the earned commission. Partners act as independent partners, not as employees of PRIMO-TECHNOLOGIES FZ-LLC.

16. Privacy

Partners agree that customer and lead information must only be used for legitimate sales purposes. Sharing or selling customer data is strictly prohibited.

17. Platform Availability

While we strive for maximum uptime, Primo Sales Team cannot guarantee uninterrupted access. Maintenance and technical issues may occasionally occur.

18. Changes

Primo Sales Team reserves the right to modify:

• Features
• Commission structures
• Products
• Platform functionality
• Partner requirements

Partners will be notified of significant changes where appropriate.

19. Limitation of Liability

Primo Sales Team shall not be liable for indirect damages, lost profits, business interruption, technical outages, or delays caused by third-party providers.

20. Termination

Partners may close their account at any time. If a partner closes their account, any commission they have already earned will still be paid out on the normal payout date (the 28th). Primo Sales Team may terminate an account immediately if these Terms are violated. Outstanding commissions relating to fraudulent or disputed activity may be withheld pending investigation.

21. Governing Law

These Terms are governed by the laws applicable to PRIMO-TECHNOLOGIES FZ-LLC, the legal entity operating Primo Sales Team, registered in Ras Al Khaimah, United Arab Emirates. Any disputes shall be handled by the competent courts of Ras Al Khaimah, UAE.
